Published October 26, 2026, 7:20 PM PKT. Based on Strive's Form 8-K filed with the U.S. Securities and Exchange Commission on October 26, 2026 (primary source), and reporting by Bitcoin Magazine, Bitcoin.com, CoinLab, CryptoTimes and KuCoin on October 26, 2026 (secondary sources). This is a follow-up to MABOnChain's October 14, 2026 coverage of Strive's 3,311 bitcoin purchase and its SATS preferred stock offering; the new development is a larger purchase, a new holdings total, and a new $1 billion sale program, all disclosed October 26.

Strive has made the biggest bitcoin purchase in its history. The Nasdaq-listed company bought 6,182 bitcoin for about $511.4 million between October 17 and October 23, 2026, at an average price of about $82,732 per coin including fees and expenses, according to a Form 8-K it filed with the U.S. Securities and Exchange Commission on October 26, 2026. The purchase lifts Strive's total holdings to 43,000 bitcoin, up from 36,818 bitcoin on October 16, according to the filing as reported by Bitcoin Magazine and CoinLab. At bitcoin prices near $80,000 on Monday, the stash is worth about $3.45 billion, according to Bitcoin.com. Strive's chief executive Matt Cole announced the purchase on X the same day, writing that Strive acquired 6,182 bitcoin for $511.4 million at an average cost of $82,732 per bitcoin, bringing total holdings to 43,000.

The October 26 filing: 6,182 bitcoin for $511.4 million

The filing is a current report, the form U.S. public companies use to announce material events, and it covers a single week of buying, according to CryptoTimes. The 6,182 bitcoin bought between October 17 and October 23 cost about $511.4 million in total, and the average price of $82,732 includes fees and expenses, according to the same report. That average sits below the $84,500 average Strive paid on its first October tranche, according to Bitcoin.com, which means the company bought more bitcoin this week for less money per coin than it paid two weeks earlier, even as it spent far more in total.

The filing also shows a balance sheet that grew on both sides at once. Cash and marketable securities rose by $187.7 million to $554.6 million over the same week, according to Bitcoin Magazine and KuCoin, while cash and equivalents alone rose from $317.5 million to $504.4 million, according to CoinLab. Strive also holds 505,000 shares of Strategy's STRC preferred stock, with a fair value of $50.2 million against $49.3 million a week earlier, according to CoinLab. The filing does not say how much of the cash pile will go into further bitcoin buying, according to CoinLab, so the $554.6 million should be read as dry powder, not as a promised purchase.

How October built to 43,000 bitcoin

The new purchase is the fourth leg of an October accumulation campaign that has reshaped the corporate bitcoin rankings, according to Bitcoin.com. The first tranche delivered 3,311 bitcoin for about $280 million at an average price of $84,500 per coin. Strive followed with 2,822 bitcoin for $235 million on October 12 and 13, lifting its holdings to 35,595 bitcoin and narrowly overtaking MARA Holdings at 35,577 bitcoin, according to the same report. Another 1,223 bitcoin, bought for about $100 million between October 14 and 16, pushed the total to 36,818 bitcoin. The October 17 to 23 purchase of 6,182 bitcoin then took it to 43,000, a figure that Bitcoin.com describes as a new all-time high for the company's stash and that CryptoPotato calls the company's single biggest bitcoin buy, ahead of the 3,311 bitcoin tranche and an earlier haul of roughly 2,500 bitcoin from May and June.

The ranking matters because Strive now sits fourth among publicly traded corporate bitcoin holders, behind Strategy, Metaplanet and Twenty One Capital, according to Bitcoin.com. Strive overtook MARA Holdings earlier in the month, according to the same report, and the 6,182 bitcoin week widened that gap rather than just defending it. The company is a digital asset treasury firm co-founded by Vivek Ramaswamy, according to Bitcoin.com, and it holds bitcoin as its main treasury reserve asset, according to CryptoTimes.

The SATS machine: $630 million raised, $1 billion more on tap

The buying was funded by a preferred stock machine Strive built in the same month. The purchase comes one week after Strive closed its upsized initial public offering of SATS, its 15% Perpetual Series A Preferred Stock, according to Bitcoin Magazine. The company sold 7 million shares at $90 each for $630 million in gross proceeds, according to the same report. Dividends accrue at 15% on a $100 stated amount, which works out to a 16.67% yield at the issue price, and payments, if declared by the board, start November 9 and land on each business day, according to Bitcoin Magazine and KuCoin. Strive opened the offering with a $500 million target and raised the size by 2 million shares on demand, according to the same reports, and it set aside a $157.5 million dividend reserve, which covers 18 months of payments on the new shares, according to Bitcoin Magazine.

The October 26 filing adds a second funding channel on top of the closed offering. On the same day, Strive filed a prospectus supplement for a new at-the-market program under which it may sell up to $1 billion of SATS over time, according to CryptoTimes and Bitcoin Magazine. Cantor Fitzgerald, Barclays, Clear Street, StoneX, B. Riley Securities, Maxim Group and H.C. Wainwright serve as sales agents, according to Bitcoin Magazine. Under the program, Strive can issue preferred shares when demand supports the price and route the proceeds into bitcoin, according to the same report, and the company has said proceeds may also fund income-generating assets, working capital, buybacks or acquisitions, according to KuCoin. The structure mirrors the one Strive built for SATA, its first preferred stock, which carries a variable dividend and pays cash each business day, according to Bitcoin Magazine, and Strive set up a $500 million at-the-market program for SATA in December 2025, according to the same report.

The cost of that machine deserves a plain reading. A $1 billion SATS program at a 15% dividend rate implies about $150 million a year in preferred dividends if fully sold, on top of the dividends already owed on the $630 million of SATS just issued, and CryptoTimes notes that continued at-the-market sales may generate about $255 million in annual preferred dividends. That is the trade at the heart of the strategy: Strive converts investor appetite for high-yield preferred stock into bitcoin, and it must keep paying those dividends in cash whether bitcoin rises or falls. The $157.5 million reserve buys 18 months of cover on the issued shares, according to Bitcoin Magazine, but it does not remove the obligation.

What 43,000 bitcoin means in the treasury race

The timing of the disclosure is part of the story. The purchase week, October 17 to 23, coincided with a sharp bitcoin selloff that took the price toward $80,000, and the filing landed on a Monday when bitcoin was still fighting to hold that level, according to CoinDesk market coverage on October 26. Strive bought through the decline at an average of $82,732, above Monday's price, which means the newest tranche was already under water on paper when it was disclosed. That is normal for a treasury strategy that buys on a schedule rather than timing a bottom, and it is also the risk the strategy carries: the company added 6,182 bitcoin while the market was falling, funded by preferred stock that pays 15% regardless of price.

For the wider treasury race, Strive's October shows how the model has evolved past a single purchase announcement. Strategy pioneered the playbook of raising capital to buy bitcoin, but Strive's version layers two preferred stocks, SATA and SATS, each with its own at-the-market program, on top of common share sales: Class A and Class B common shares combined rose from 124.06 million to 127.33 million over the purchase week, according to CoinLab. The open question is whether investor appetite for 15% preferred stock holds if bitcoin stays near $80,000 or falls further, since each new SATS sale adds a permanent dividend bill. If demand holds, the $1 billion program gives Strive room to keep buying at a pace few other treasuries can match. If it fades, the company still holds 43,000 bitcoin and $554.6 million in cash and marketable securities, according to Bitcoin Magazine, which is a strong position to wait from.
